\"escrow-account\"<\/a>L’escrow account<\/strong> \u00e8 un contratto<\/strong> tra due soggetti in base al quale le parti contraenti affidano ad un terzo<\/strong> soggetto il mandato<\/strong> per regolare la compravendita<\/strong> di beni mobili e immobili, ma anche di partecipazioni societarie o rami aziendali. A seguito della stipulazione del contratto di escrow account, le parti depositano presso il terzo il bene o il documento oggetto della transazione e il suo controvalore in denaro. Il bene o la somma depositata viene amministrata per conto del depositante fino al momento in cui <\/strong>(\u00a0verificarsi di una determinata condizione), sar\u00e0 consegnata al compratore<\/strong>. Il terzo agisce dunque come Escrow Agent<\/strong> tra le due parti contraenti. I vantaggi di stipulare un escrow account sono molteplici. Prima di tutto, si sottraggono le somme confluite nel deposito alla disponibilit\u00e0 del depositante e nello stesso tempo queste divengono opponibili ai creditori, anche in caso di fallimento dello stesso. La costituzione di un escrow account pu\u00f2 fungere da garanzia anche per l’esportatore primario e le banche assicuratrici ed \u00e8 positivamente considerata anche dalle agenzie di assicurazione del credito all’esportazione ai fini del rilascio di eventuali coperture assicurative. Nel diritto anglosassone questo rapporto viene attuato attraverso il trust. Nel nostro ordinamento esistono fattispecie simili all’escrow account, come il contratto a favore di terzi e la norma che disciplina l’interesse di un terzo nel deposito. Ma questi istituti giuridici non danno le stesse garanzie di un escrow account. Solo con un tale impegno scritto a garanzia depositato presso terzi, le somme e i beni depositati sono garantiti da eventuali aggressioni di terzi. Infatti, in base alle norme dell’ordinamento italiano il terzo depositario, al momento del deposito, diverrebbe proprietario dei beni o delle somme depositate con la conseguente possibilit\u00e0 per i creditori dello stesso di agire su di essi. Solo con un escrow account le parti risultano completamente tutelate, in quanto i beni o la somma di denaro sono costituiti in trust e il trustee (depositario) deve gestirli secondo le direttive indicate nell’atto costitutivo. L’escrow agent, quindi, al verificarsi delle condizioni previste dal contratto liberer\u00e0 le somme detenute e contestualmente consegner\u00e0 al compratore il bene.<\/p>\n

IN SOSTANZA<\/strong><\/p>\n

In caso di acquisto di un’immobile in costruzione, ad ex, il compratore per avere maggiore garanzia sul buon esito della costruzione, verser\u00e0 al venditore un’anticipo di denaro per le burocrazie ed eventuale parte di immobile esistente, il resto del denaro sino al saldo del prezzo, sar\u00e0 versato in un conto escrow<\/strong>, gestito dall’escrow agent<\/strong>, il quale monitorer\u00e0 la costruzione attraverso certificazioni tecniche e commerciali e trasferir\u00e0 le somme di denaro al venditore\/costruttore solo dopo aver certificato lo stato di ogni avanzamento, sino alla consegna del bene.<\/p>\n

\nAn escrow account is<\/p>\n

an account established by a broker, under the provisions of license law, for the purpose of holding funds on behalf of the broker’s principal or some other person until the consummation or termination of a transaction, or\u00a0a trust account held in the borrower’s name to pay obligations such as property taxes and insurance premiums.<\/p>\n

Escrow is best known in the United States in the context of real estate (specifically in mortgages where the mortgage company establishes an escrow account to pay property tax and insurance during the term of the mortgage). Escrow companies are also commonly used in the transfer of high value personal and business property, like websites and businesses, and in the completion of person-to-person remote auctions (such as eBay). In the UK escrow accounts are often used during private property transactions to hold solicitors’ client’s money, such as the deposit, until such time as the transaction completes.
\nEscrow is also known in the judicial context. So-called escrow funds are commonly used to distribute money from a cash settlement in a class action or environmental enforcement action. This way the defendant is not responsible for distribution of judgment monies to the individual plaintiffs or the court-determined use (such as environmental remediation or mitigation). The defendant pays the total amount of the judgment (or settlement) to the court-administered or appointed escrow fund, and the fund distributes the money (often reimbursing its expenses from the judgment funds).
\nEscrow is also used in the field of automated banking and vending equipment. One example is automated teller machines (ATMs), and is the function which allows the machine to hold the money deposited by the customer separately, and in case he or she challenges the counting result, the money is returned. Another example is a vending machine, where the customer’s money is held in a separate escrow area pending successful completion of the transaction. If a problem occurs and the customer presses the refund button, the coins are returned from escrow; if no problem occurs, they fall into the coin vault.[1]\n

Source code escrow agents hold source code of software in escrow just as other escrow companies hold cash. The highly valuable (and often secret) source code is only released by the agent to either party upon specific terms of the escrow agreement (such as failure to maintain the application, transfer of ownership of the intellectual property rights, or the liquidation of the owner of the source code)..<\/p>\n

Not all escrow agreements impose the duties of a legal trustee on the escrow agent, and in many such agreements, escrow agents are held to a mere gross negligence standard and benefit from indemnity and hold harmless provisions.<\/p>\n
